Deadline extended for reporting shareholding structure of real estate companies

The Ministry of Finance has extended the deadline for submitting information on the shareholding structure of real estate companies to September 30, 2022.


Who benefits from the extension?

The extension applies to real estate companies with a tax/revenue year ending between December 31, 2021 and May 31, 2022. Both the real estate company itself and the shareholder of such entity can benefit from the extended period.


New deadline 

Generally, the deadline for filing information on the shareholding structure of real estate companies is the end of the third month after completion of such company's tax/revenue year. Consequently, if a real estate company's tax/revenue year is a calendar year, generally the information for 2021 should be filed by March 31, 2022.

Pursuant to the Ordinance of the Minister of Finance dated March 29, 2022 on deadline extension for reporting information on real estate companies (Journal of Laws, item 709), for real estate companies having a tax/revenue year ending between December 31, 2021 and May 31, 2022, the deadline for filing information has been extended to September 30, 2022. This means that such companies (and their shareholders) have gained additional time to submit the report. Nevertheless, our recommendation is not to leave this obligation to the very last moment. Among other things, due to the necessity to report indirect shareholders, in practice the preparation of the information may prove to be challenging and time-consuming.
